This article is designed to help you determine the status of the Clause Library in your system, as well as how to populate it with clauses. A Clause Library is used to store clauses that can be used in document templates or inserted into Contract documents during negotiation or contract creation. The clauses stored in a Clause Library table come from Contract Clause records that have been extracted from a contract, vetted, and saved.

The state of your Clause Library table may differ depending on your KB. Follow the section below to determine what you need to configure the table properly.

# Evaluating your Clause Library

<span style="color: #333333">To determine the scope of your clause library project, </span><span style="color: #333333">first </span><span style="color: #333333">determine whether or not you have a Contract Clause table, which may also be called Contract Clause Modification table. </span>

<span style="color: #333333">Next, </span><span style="color: #333333">determine whether your Clause Library already exists</span><span style="color: #333333">, and whether it already contains any clauses. </span>

#### Checking your KB for Contract Clauses

To find the Contract Clause table:

1. Log in to your KB.
2. Open the bento menu on the left side of the page.
3. Search for Contract Clause or Contract Clause Modification.
4. If either appear, continue to the next section.
5. If neither appear, review implementation notes and the table list to make sure it wasn't implemented under a different name. If you don't have one, r<span style="color: #333333">each out to your implementation or services provider for help creating the Contract Clause table, or to your Agiloft Customer Success Manager for more information.</span>

#### Checking your KB for a Clause Library

To find your Clause Library:

1. Log in to your KB.
2. Open the bento menu on the left side of the page.
3. Search for Clause Library.
4. If it appears, continue to the next section. If it doesn't appear, review implementation notes and the table list to make sure it wasn't implemented under a different name. If you don't have one, r<span style="color: #333333">each out to your implementation or services provider for help creating the Clause Library, or to your Agiloft Customer Success Manager for more information.</span>

#### Checking the Clause Library structure

If you have a Clause Library table already, confirm that your table has a Guidance field.

1. In your KB, navigate to Setup [Clause Library].
2. In the Fields tab, check for a field named Guidance. If you have it, continue to the next section. If you don't have it:
  1. Click New and select Text.
  2. Name the field Guidance.
  3. Set the maximum field length to 10,000.
  4. On the Display tab, input 110 in the Width of input field.
  5. In the Heigh of input field, select Multi-line and make it 5 rows high.
  6. Click Finish.
3. Navigate to the Layout tab.
4. Add the Guidance field to the Clause Details tab of the Layout, near the Clause Text field.
5. Click Finish.

#### Checking your Clause Library clauses

If you aren't using your Clause Library, <span style="color: #333333">it might already have some stored clauses. It's important to review the contents before you begin adding more, so you know for certain when every clause was last reviewed.</span>

1. In your KB, navigate to the Clause Library table.
2. Check if your clauses are default clauses from Agiloft, or have been added by your organization already, which you can determine in the History tab. If the former is true, continue to the next section. If you already have internally-added clauses, check within your organization if new clauses are necessary before continuing.

# Populating the Clause Library> Macro (anchor)



To add clauses to your Clause Library, follow the steps below.

1. Check the Contract Clause table. If you already have Contract Clause records you want to convert to Clause Library clauses, skip down to step 2***. ***Otherwise, follow the steps below.
  1. Open a Contract document in Word and log in to the Word app. For more information on using the Word app to add clauses, visit the section below.
  2. Tag a clause:
    - If you have AI enabled, simply click Generate Tags.
    - If you don't, highlight a clause and click Tag Selection. You can only click this option if something is highlighted in the document.
      - Under Tag, choose whether the highlighted content is a clause or a key term.
      - If you chose Clause, select the Clause Type. If you chose Key Term, select the Key Term Type.
      - You can change the highlighted text by clicking Change text to selection and making the edit within the document. Otherwise, click Save to save the tag.
  3. Review the tags for accuracy, and ensure every necessary clause and key term has been tagged. To upload this information to Agiloft, click Save at the bottom of the app, as well as save the document in Word.
  4. In your KB, navigate to the Contract Clause table to see your clauses.
2. Edit a Contract Clause record.
3. Click Add to Clause Library.
  1. Ensure the Clause Type is correct and give the clause a name in the Title field.
  2. <span style="color: #333333">In the Source field, choose how this clause came to be added to your library.</span>
  3. Check that the Clause Text field reflects the text you'd like to insert into contract documents in the future.
  4. Optionally, add text to the Guidance field to help others understand when to use this clause, as well as any other fields that may be useful to your organization.
  5. At the bottom of the tab, click the magnifying glass icon to select which Contract Types this clause can be inserted into. This helps to ensure that clauses with similar names are only selectable when relevant Contract Types are being worked on, cutting down on improper additions or lengthy lists.
  6. If you plan to use the clause with document templates as well, navigate to the Document Templates tab and click New.
    1. In the new window, add the Document Template Title from the drop-down list.
    2. .Ensure the Clause Usage field reflects how you want the clause used. This field is informational, and won't impact how the system processes your clause.
      1. Default: The clause should be included in all contracts of the designated Contract Type.
      2. Optional: This clause does not need to be included in all contracts of the designated Contract Type.
      3. Conditional: This clause only needs to be included if a certain condition is met, which can be described in the Condition Description field below.
      4. Fallback: This clause is similar to a default clause, but not required.
    3. Click Save.
  7. At the bottom of the Document Templates tab, click the magnifying glass icon to select which Document Templates this clause can be used by. This helps to ensure that clauses with similar names are only selectable when relevant Document Templates are being worked on, cutting down on improper additions or lengthy lists.   8. Click Save.

Repeat the steps above from step 2 to add more clauses to your Clause Library.
